Business Dissolution / Winding Up

Many successful business relationships have been formed based solely on a handshake. However, if irreconcilable disagreements arise, being able to look to a formal written agreement (reached by independently represented parties) is far preferable, to resolve the parties’ rights and obligations. We recommend written agreements as the best way to reduce instances of dispute. These agreements can involve either straightforward transactions (i.e., preparation of shareholder or partnership agreements) or highly sophisticated written agreements.

If there must be a breakup, J&G can assist you with your business dissolution in achieving a successful result. We will aggressively utilize all of the Federal and State laws for your financial protection and when necessary, obtain judicial intervention to enforce buy/sell agreements, covenants not to compete, trademark infringement, unfair competition and minority shareholders’ rights.


Employment Agreements

Many employers prefer to have management, sales representative and key employees contracts placed in writing. However, the majority of employees in New York do not have an employment contract. It is too often neglected because of the delicate issues and the misbelief such agreements are too complicated or costly. However, we believe an ounce of prevention is worth a pound of cure.

J&G can provide drafting and negotiation of employment contracts, contractor agreements and non-competition agreements. We will assist you in the maintenance of the At-Will employee status if employees are not hired pursuant to a formal contract.

Wrongful Termination

New York, adheres to the classic "at-will" rule. Generally speaking, an "at-will" employee may be terminated without cause. However, in today's society, it is commonplace for employees to strike back for being terminated from employment. Claims are often based upon discrimination claims such as age, race, religion, disability, pregnancy, marital status and gender. Our first goal is to help you avoid creating the slightest basis for alleged cause.

Many potential claims by employees can be avoided by thoughtful and swift action on the part of the employer and its counsel. Cases without merit can sometimes be resolved without expensive litigation.

The firm assesses strengths and weakness of the employee's claim and diligently seeks resolution of all issues at the earliest time possible.

Sexual Harassment

Employer's liability and exposure for claims of sexual harassment are costing businesses millions of dollars on an annual basis. Many of the claims are baseless and the employer is often unaware of its exposure until a charge is filed with the EEOC or NYSDHR. Generally, employees will seek compensatory damages, punitive damages and counsel fees.

J & G can and will advise your company of the permissible conduct that can occur at your facilities. We can prepare or revise employee manuals and handbooks in an effort to avoid meritless litigation.

Wage Disputes

Federal (FLSA) and New York laws and regulations (Labor Law) mandate the proper method for payment of employees in New York. It is the employer's responsibility to comply with overtime, holiday, medical leave, disability and other similar benefit laws. Failure to comply with these requirements can result in liability for liquidated (doubling) damages and attorneys fees.

J&G will provide you with the appropriate legal procedures and coordinate with your Human Resource Department in an effort to avoid unnecessary litigation in wage and benefit claims.
